Terms of Service
Effective date: July 6, 2026
These Terms of Service ("Terms") are an agreement between you and Lumio Software FZ-LLC, a company registered in the Ras Al Khaimah Economic Zone (RAKEZ), United Arab Emirates ("Lumio", "we", "us"). They govern your access to and use of theSitrep, including the website at thesitrep.dev, the application at thesitrep.app, and related services (together, the "Service").
By creating an account, joining a workspace, or using the Service, you agree to these Terms. If you are accepting on behalf of a company, you confirm you have authority to bind that company, and "you" refers to that company.
1. The Service
theSitrep provides engineering team visibility. It connects to tools your organization already uses (such as source control, issue trackers, and calendars) and derives progress, risk, and activity insights from the work happening in those tools. The Service is provided on a subscription basis as described on our pricing page.
2. Accounts and workspaces
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. Workspace administrators may invite team members; each member must also comply with these Terms. You must be at least 18 years old to create an account.
3. Your responsibilities regarding team data
The Service analyzes work activity of the people in your workspace. By connecting your organization's tools, you confirm that:
- you are authorized by your organization to connect those tools and share their data with the Service;
- you have provided any notices to, and obtained any consents or completed any consultations with, your team members that are required under applicable employment and data protection laws in your jurisdiction; and
- you will use insights from the Service lawfully and fairly.
The Service's signals and insights are informational aids. They are derived automatically from work metadata and are not a complete or definitive assessment of any person. You agree not to use the Service as the sole basis for decisions about hiring, discipline, compensation, or termination.
4. Orders, billing, and payment
Our order process is conducted by our online reseller Paddle.com Market Limited ("Paddle"). Paddle is the Merchant of Record for all orders: your purchase contract is with Paddle, and Paddle handles payment processing, applicable taxes (such as VAT, GST, and sales tax), invoicing, and payment-related customer service. Additional billing terms:
- Plans and seats. Paid plans are priced per developer seat as shown on the pricing page. Adding seats mid-cycle results in a prorated charge; removing seats takes effect from the next billing period.
- Renewal. Subscriptions renew automatically at the end of each billing period (monthly or annual) until canceled. You can cancel anytime via the billing portal; cancellation takes effect at the end of the current period.
- Free trial. New workspaces receive a 14-day free trial as described on the pricing page. No payment method is required for the trial. At the end of the trial, continued use requires a paid plan.
- Founding (lifetime) license. Where offered, the Founding Team license is a one-time purchase granting ongoing access for up to the stated number of developers for the lifetime of the Service, subject to these Terms.
- Price changes. We may change prices with at least 30 days' notice; changes apply from your next billing period.
5. Refunds
Refunds are handled by Paddle as merchant of record in accordance with our Refund Policy and the Paddle Refund Policy. Refund requests should be made within 14 days of the transaction date. Your statutory consumer rights are unaffected.
6. Acceptable use
You agree not to: use the Service in violation of law; attempt to gain unauthorized access to the Service or its data; interfere with or disrupt the Service; reverse engineer the Service except where permitted by law; resell or provide the Service to third parties outside your organization; use the Service to develop a competing product; or upload malicious code.
7. Your data and our intellectual property
Your data. You retain all rights to the data your organization submits to or connects with the Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service. We process personal data as described in our Privacy Policy. A Data Processing Agreement is available on request at support@thesitrep.dev.
Our IP. We and our licensors own the Service, including all software, design, and derived analytics models. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. We may use aggregated, de-identified usage data to improve the Service, provided it does not identify you, your team members, or your organization.
8. Third-party integrations
The Service connects to third-party products (for example GitHub, Jira, or calendar providers) at your direction. Your use of those products is governed by their own terms, and we are not responsible for them. You may disconnect an integration at any time, which stops further collection from that source.
9. Availability and support
We aim to keep the Service available at all times but do not guarantee uninterrupted availability. We may modify the Service, and will not materially reduce its core functionality during a paid term without notice. Support is provided by email at support@thesitrep.dev.
10. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Insights, signals, and metrics are estimates derived from your connected tools and may be incomplete or inaccurate.
11. Limitation of liability
To the maximum extent permitted by law: (a) neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and (b) our total aggregate liability arising out of or related to the Service is limited to the amounts you paid for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.
12. Indemnity
You will indemnify and hold us harmless from claims arising out of your breach of Section 3 (team data responsibilities), your Customer Data, or your unlawful use of the Service.
13. Term, suspension, and termination
These Terms apply while you use the Service. We may suspend or terminate access for material breach of these Terms, non-payment, or where required by law. Upon termination, your right to use the Service ends; you may request an export of your Customer Data within 30 days of termination, after which we may delete it in accordance with our Privacy Policy.
14. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will notify you by email or in-app notice at least 14 days before it takes effect. Continued use after the effective date constitutes acceptance.
15. Governing law and disputes
These Terms are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Ras Al Khaimah. The courts of Ras Al Khaimah have exclusive jurisdiction over disputes arising from these Terms, except that nothing prevents consumers from relying on mandatory protections of the law of their country of residence. Your purchase contract with Paddle is governed by Paddle's buyer terms.
